In the event of any conflict between these general terms and a specific service agreement, the specific service agreement shall prevail with respect to the subject matter of that engagement.

We reserve the right to refuse service to any person or entity for any lawful reason. We do not guarantee that our services will meet your specific requirements or that service delivery will be uninterrupted, timely, secure, or error-free, though we will use commercially reasonable efforts to achieve these outcomes.

3. Website Use and Acceptable Conduct

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the website. Secure Again retains the right to use generalized knowledge, skills, and methodologies developed during the course of providing services.

4.3 License to Use

You are granted a limited, non-exclusive, non-transferable license to access and view the content on our website for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our website without our prior written consent, except as expressly permitted by these terms.

5. Confidentiality

Secure Again acknowledges that during the course of providing services, we may have access to confidential information belonging to our clients, including business strategies, technical specifications, proprietary systems, financial data, and other non-public information. We agree to maintain the confidentiality of such information and to use it solely for the purpose of delivering the contracted services.

Our confidentiality obligations apply to all employees, contractors, and subcontractors involved in service delivery. These confidentiality obligations survive the termination of any service agreement.

Confidential information does not include information that is or becomes publicly available through no fault of Secure Again, information that was rightfully in our possession prior to disclosure, or information that is independently developed by Secure Again without reference to the client's confidential information.

6. Disclaimer of Warranties

THE SECURE AGAIN WEBSITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THEREIN ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SECURE AGAIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SECURE AGAIN DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SECURE AGAIN DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY CONTENT ON THE WEBSITE.

IN ANY EVENT, THE AGGREGATE LIABILITY OF SECURE AGAIN FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR WEBSITE OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO SECURE AGAIN FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00), WHICHEVER IS LESS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Secure Again, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: your use of our website or services in violation of these terms; your violation of any applicable law or regulation; your infringement of any intellectual property or other right of any third party; or any content or information you submit or transmit through our website.

Secure Again reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. For clients located outside of China, additional local laws may apply to the extent they provide mandatory consumer protections that cannot be waived by contract.

9.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service or the provision of services shall first be resolved through good-faith negotiations between the parties. If the parties cannot resolve the dispute within 30 days of written notice, the dispute shall be submitted to binding arbitration administered by a recognized arbitration institution in Yichang, Hubei Province, China, in accordance with its rules then in effect.

9.3 Jurisdiction

The parties agree that any arbitration or legal proceedings arising out of these terms shall be conducted in Yichang, Hubei Province, China. Each party submits to the personal jurisdiction of the courts located in Yichang for the enforcement of any arbitration award. Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.

10. General Provisions

10.1 Entire Agreement

These Terms of Service, together with any applicable service agreement, statement of work, or other written agreement between you and Secure Again, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10.2 Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

10.3 Waiver

The failure of Secure Again to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of Secure Again.

10.4 Assignment

You may not assign or transfer your rights or obligations under these terms without the prior written consent of Secure Again. Secure Again may assign or transfer its rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets.

10.5 Force Majeure

Secure Again shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemic, supply chain disruptions, internet outages, or failure of third-party infrastructure.

10.6 No Partnership

Nothing in these terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties. Each party is an independent contractor and has no authority to bind the other party.

10.7 Notice

All notices required or permitted under these terms shall be in writing and sent to the addresses provided in the applicable service agreement or, for general inquiries, to the contact information listed on our website. Notices shall be deemed given when received if delivered by email, or three business days after being sent by registered mail.
